Your continued use of the Services after such modifications will constitute your acknowledgment and agreement to the modified Terms.
2. Service Description
AICallControl provides an AI-powered telephone management system that includes call routing, transcription, CRM integration, and analytics services. The specific features and functionality available to you will depend on the subscription plan you select.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any such modifications, suspensions, or discontinuations.
3. Account Registration and Security
To use certain features of the Services, you may need to create an account. You are responsible for maintaining the confidentiality of your account information, including your password, and for all activity that occurs under your account.
You agree to:
- Provide accurate, current, and complete information during the registration process
- Maintain and promptly update your account information
- Notify us immediately of any unauthorized access to or use of your account
- Ensure that you exit from your account at the end of each session
We reserve the right to disable any user account at any time, in our sole discretion, if we believe you have violated these Terms or if we determine that your actions may compromise the security of the Services.
4. Subscription and Payment
Access to certain features of the Services requires a paid subscription. All subscription fees are billed in advance and are non-refundable.
By subscribing to our Services, you authorize us to charge the applicable subscription fees to your designated payment method. If payment is not received, we may suspend or terminate your access to the Services.
We may change our subscription fees at any time, but any changes will not affect your current subscription period. We will provide notice of any fee changes before they take effect.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit any material that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
- Interfere with or disrupt the Services or servers or networks connected to the Services
- Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks connected to the Services
- Use any robot, spider, scraper, or other automated means to access the Services for any purpose
6. Intellectual Property Rights
The Services and their contents, features, and functionality are owned by AICallControl and are protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without our prior written consent.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your business purposes.
7. Data Privacy and Security
Our collection and use of personal information in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You acknowledge that you are responsible for obtaining any necessary consents from your customers or users for the collection, processing, and storage of their data through our Services, and for ensuring that your use of our Services complies with all applicable privacy laws and regulations.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AICALLCONTROL, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE AMOUNT PAID BY YOU TO AICALLCONTROL DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.
9. Indemnification
You agree to indemnify, defend, and hold harmless AICallControl and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.
10. Termination
We may terminate or suspend your access to the Services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in San Francisco County, California, for the resolution of any disputes arising from these Terms or your use of the Services.
